Simon Property Group (NYSE: SPG ) recently announced plans to spin off its strip malls and smaller enclosed malls into a new company. That will allow the mall giant to focus on its higher-end enclosed malls and outlets. The move will be a good one for shareholders on multiple fronts, but such transactions don't always play out this well.
Getting "simple"
Simon is a prime example of an industry leader that took advantage of an economic soft patch to grow. During the 2007 to 2009 recession, the real estate investment trust (REIT) was actively adding to its portfolio, buying competitors like Mills Corporation (2007) and Prime Outlets (2009).
This growth, however, came at a cost. Simon cut its dividend at the tail end of the recession, right when income investors needed it most. Although the dividend is now above its pre-recession level, that investor-unfriendly move left a bad taste in the mouths of people trying to live off of their dividends.
That makes the spin-off of the company's "less desirable" properties that much nicer, since it will be accompanied by an effective dividend increase. Simon's dividend will stay the same, and the spin-off will pay a dividend of its own. A welcome reward if you stuck with the REIT through the tough years.

WY and the majority of the timber, forest and paper products companies have a track record of unimpressive returns on capital, cyclical revenue and profit trends, heavy use of capital expenditures, and significant environmental regulation. We also think that WY's conversion to a REIT was a mistake. Morningstar Investment Research's Timber, Forest and Paper Products analyst Dan Rohr said it best when he rated WY and its Timber REIT peers Rayonier (RYN), Potlatch (PCH) and Plum Creek (PCL) as not possessing any economic moat. That probably explains why we only have an ancillary exposure to this industry for our proprietary portfolio based on our holdings in Brookfield Infrastructure (BIP) and Cintas (CTAS). Brookfield's Timber segment only accounts for 5% of its Fund Flows from operations and Cintas's document management business is suffering from reduced prices on recycled paper. At least Cintas Document Management only accounts for 8% of Cintas's revenue.

In Weyerhaeuser's report, watch for the company to discuss any plans for potential buyout activity. With tight supplies, smaller rivals Louisiana-Pacific (NYSE: LPX ) or Potlatch (NASDAQ: PCH ) might make good targets for the larger Weyerhaeuser or Plum Creek to look at for expansion. Even though those companies have seen their shares rise dramatically as well, it might be worth paying up in order to secure long-term assets that could produce strong growth for Weyerhaeuser.

Some of the companies that reported sales gains ramped up bargains to bring in shoppers who appeared hesitant to splurge. Costco Wholesale (COST) said Thursday that sales at stores open at least a year rose 2 percent, below the 3.3 percent increase analysts were looking for, according to Thomson Reuters. The warehouse club chain said consumer electronics sales fell. Same-store sales at L Brands (LTD), owner of the Victoria's Secret lingerie chain, also came in below expectations. Its drop of 5.5 percent was far deeper than the 1.1 percent decline analysts were projecting. Wall Street analysts are expecting 11 top retailers to report a 2.7 percent increase in same-store sales for November, according to Thomson Reuters. Excluding drugstore operators, which get two-thirds of revenue from prescriptions, that gain is estimated at 2.3 percent. Gap (GPS) will report its November sales after U.S. markets close. Retailers have been contending with low consumer confidence and the need to prod shoppers with bargains this holiday season, which has six fewer days because of a late Thanksgiving. The National Retail Federation on Sunday said U.S. shoppers had spent 2.9 percent less this year over the Thanksgiving weekend, the kickoff to the holiday season. The Conference Board, an industry group, said last week that U.S. consumer confidence fell in November after a sharp drop in October as Americans worried about their future jobs and earnings prospects. Earlier this week, J.C. Penney (JCP) reported a 10.1 percent comparable sales increase, partially reversing a disastrous decline in 2012, but the department store chain had to resort to aggressive bargains.
